Agreement

By accessing or using cheerfuldisposition.com (the “Site”), you agree to these Terms of Service. If you do not agree, please do not use the Site. These terms apply to all visitors, advertisers, and anyone else who accesses the Site.

Who we are

The Site is operated by Cheerful Disposition LLC, an independent iOS app studio. References to “we”, “us”, or “our” mean Cheerful Disposition LLC.

Use of the Site

You agree to use the Site only for lawful purposes. You must not:

• Submit false, misleading, or fraudulent information in any form
• Attempt to gain unauthorized access to any part of the Site or its systems
• Interfere with the Site’s operation or place an unreasonable load on its infrastructure
• Use the Site to transmit spam, malware, or any harmful content
• Scrape or harvest data from the Site without our written permission

Advertiser accounts

Access to the advertiser portal is by invitation only, granted at our sole discretion following an application review. If you are granted access:

• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activity that occurs under your account
• You agree to notify us immediately at sean@cheerfuldisposition.com if you suspect unauthorized access
• We reserve the right to suspend or terminate accounts that violate these terms

Advertising content

All advertising creatives submitted through the platform are subject to our review and approval. We reserve the right to reject or remove any creative that:

• Is false, deceptive, or misleading
• Promotes illegal products or services
• Contains adult content, hate speech, or material inappropriate for a general audience
• Violates any applicable law or regulation
• Conflicts with the values of Cheerful Disposition LLC

Approval of a creative for one campaign does not guarantee approval for future campaigns.

Intellectual property

All content on the Site — including text, graphics, logos, and app icons — is owned by Cheerful Disposition LLC or its licensors and is protected by applicable copyright and trademark law. You may not reproduce, distribute, or create derivative works from any Site content without our prior written consent.

By submitting advertising creatives or other content to us, you represent that you own or have the rights to use that content, and you grant us a non-exclusive license to display it as part of your advertising campaign.

Disclaimer of warranties

The Site is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We make no guarantees regarding advertising performance, impressions, or clicks.

Limitation of liability

To the maximum extent permitted by law, Cheerful Disposition LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or any advertising services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim will not exceed the amount you paid us in the 30 days preceding the claim.

Governing law

These terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any disputes will be resolved in the courts located in Utah.

Changes to these terms

We may update these terms at any time. When we do, we will revise the “Last updated” date at the top of this page. Continued use of the Site after changes are posted constitutes your acceptance of the updated terms.
